terms and conditions

This Terms and Conditions Agreement effect as of 10-10-2024 govern the services provided by BroadGround to the client. By engaging in any services with us, you agree to comply with and be bound by these Terms and Conditions.

1. Scope of Services

BroadGround agrees to provide agricultural contracting services as described in the service agreement or project scope document. Any additional services outside of the agreed-upon scope must be mutually agreed upon in writing.

2. Payment Terms

  • Payment Due: Payments for services rendered are due within 14 days from the date of the invoice unless otherwise agreed upon.

  • Payment Reminders: A payment reminder will be sent via email 2 days prior to the invoice due date.

  • Late Fees: A late fee of 5% of the total invoice amount will be charged for payments not received within 14 days of the invoice date, in order to cover the time, effort, and resources spent chasing overdue payments.

  • Extended Payment Terms: If you are unable to pay by the due date, please contact us before the due date to discuss potential extended payment terms.

  • Overdue Payment Reminders: A payment reminder for overdue invoices will be sent via email at increments of 2 days, 7 days and 28 days post the invoice due date.

  • Payments not received: If payment is not received within 30 days of the invoice due date BroadGround reserves the right to suspend or terminate further services until the outstanding balance is settled.

  • Repeated Late Payments: If the Client repeatedly fails to pay invoices on time, BroadGround reserves the right to terminate further work and this Agreement. In such cases, all outstanding invoices must still be paid by the Client.

3. Minimum Charges

  • Hourly Rates: A minimum charge of one (1) hour will apply for all services provided. Any additional time will be billed in 15-minute increments thereafter.

  • Rates: The current hourly rate for services is $95.00 excluding GST for on-farm and remote services and $100.00 excluding GST for a 60-min consult.

  • Rate Increases: BroadGround reserves the right to increase rates at any time. The Client will be provided with adequate notice, at least 30 days prior to any rate increase taking effect. The new rates will apply to services provided after the notice period has expired.

4. Payment Method

  • All payments should be made via bank transfer to the following account details:

  • Payments must be made in Australian Dollars (AUD).

  • The Client is responsible for ensuring that payment is made on time and in full, including any applicable bank charges or transfer fees.

5. Code of Conduct

  • Non-Discrimination: BroadGround is committed to maintaining a professional, respectful, and inclusive environment. Any form of sexism, discrimination, harassment, or inappropriate behaviour towards Victoria or other individuals will not be tolerated.

  • Termination of Services: In the event of any discriminatory or inappropriate behaviour, BroadGround reserves the right to immediately cease further work with the Client and may terminate this Agreement without notice. In such cases, all outstanding invoices must still be paid by the Client.

6. Liability

  • BroadGround will make reasonable efforts to ensure the safety and quality of the services provided. However, the BroadGround shall not be liable for any indirect, incidental, or consequential damages arising from the services rendered.

  • The Client agrees to hold BroadGround harmless for any injury, loss, or damage incurred during the performance of the Services, unless such injury or damage is caused by the BroadGrounds negligence or willful misconduct.

7. Cancellation and Rescheduling

  • Notice of Cancellation/Rescheduling: The Client must provide at least 24 hrs. notice to cancel or reschedule a scheduled service. Failure to do so may result in a cancellation fee.

  • Cancellation Fee: A cancellation fee may apply if the Client cancels or reschedules a scheduled service without providing at least 24 hrs. notice. The cancellation fee will be $95 including GST, and the Client will be invoiced accordingly.

  • Force Majeure: Neither party shall be liable for any failure to perform due to events beyond their reasonable control, including but not limited to natural disasters, equipment failure, or government restrictions.

8. Confidentiality

Both BroadGround and the Client agree to maintain the confidentiality of all proprietary or sensitive information exchanged during the course of providing or receiving the Services, unless required by law to disclose.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of High Court of Australia, and any disputes arising hereunder shall be subject to the exclusive jurisdiction of the courts located in Victoria, Australia.

10. Amendments

These Terms and Conditions may be amended or updated from time to time at the sole discretion of BroadGround. Any amendments will be communicated to the Client via email, and continued use of services will constitute acceptance of the updated Terms and Conditions.
